By browsing and using www.edubox.co.uk and www.teachertakefive.com – or any Edubox geographical domain – (the ‘Website’ which shall include the placing of orders and subscriptions), You are agreeing to comply with and be bound by the following Terms and Conditions of use, which govern the relationship between You and Edubox Limited.
Your use of the Teacher Take Five service or this Website after any revisions have been made constitutes Your acceptance of the new Terms and Conditions. If You do not agree to abide by these or any new Terms and Conditions, do not use or access (or continue to use or access) the Teacher Take Five service or this Website. It is Your responsibility to regularly check this page to determine if there have been changes to these Terms and Conditions and to consider such changes. Because our Services are evolving over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
You should print a copy of these Terms and Conditions for future reference and You should also regularly revisit the Terms and Conditions on the Website for purposes of noting whether or not revisions have been made.
Who we are
Edubox is the trading name of Edubox Limited of Unit 7, The Towers, Foley Avenue, Kidderminster, DY11 7PG, United Kingdom. Edubox Limited is registered in England and Wales under company no. 10666309. Edubox sells products designed as teaching aids and also a subscription service called Teacher Take Five designed to support wellbeing and mental health.
The term “Edubox”, “We” and “Us”, shall mean Edubox Limited, the owner of this Website. The term “You”, “Yourself” and “Your” refers to the user or viewer of this Website. The term “Teacher Take Five” shall mean the subscription service that Edubox Limited sells on this Website.
Edubox is the Data Controller within the definition of the General Data Protection Regulation (GDPR).
Edubox is a provider of high quality physical teaching aids – we call this the ‘Product Service’ which is made available through the Website.
Edubox sells a subscription service called ‘Teacher Take Five’ and we call this the ‘Service’ which is made available through the Website. This is a collaboration between Edubox Ltd and Neuro Headway Ltd.
Edubox provides the subscription service ‘Teacher Take Five’ which is accessed via an Edubox membership upon payment of a fee as specified on the Website.
We reserve the right to change pricing and or availability in respect of any of the services in this clause for any reason and without notice.
Edubox is not responsible for non-delivery or technical limitations of the end user for any reason in respect of any of the services in this clause.
Content, Content Rights and Ownership
For purposes of these Terms, “Content” means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Products and Services.
Edubox and Teacher Take Five (including the collaboration with Neuro Headway Ltd) and its licensors exclusively own all rights, title and interest in and to the Products, Services and Content, including all associated intellectual property rights. You acknowledge that the Products, Services and Content are protected by copyright, trademark, and other laws of the United Kingdom and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content. You are prohibited from reproducing, extracting, providing links to or otherwise communicating or making available to third parties any part of the content of this Website, our Products or the Teacher Take Five Service without Edubox Limited’s written consent. You acknowledge that, by making use of this Website, you are agreeing to comply with this prohibition and that any breach thereof is likely to result in legal proceedings being issued against you.
The contents of the Website are protected by international copyright laws and other intellectual property rights. The owner of these rights is Edubox Limited, Neuro Headway Limited or other third party licensors. All product and company names and logos mentioned in our Website are the trade marks, service marks or trading names of their respective owners including us.
Any material or information downloaded from this Website is subject to Copyright Terms. Except as stated in this clause, You may not modify, copy, reproduce, republish, upload, post, transmit or distribute, by any means or in any manner, any material or information downloaded from this Website without prior written authorisation.
Certain aspects of the Services may require You to register and provide information about Yourself. You agree to: (a) provide true, accurate, current and complete information about Yourself as prompted by the relevant registration form contained on the Website (such information being the Registration Data) and (b) maintain and promptly update the Registration Data (by emailing Us) to keep it true, accurate, current and complete and We shall not be liable for any loss suffered by Your non-compliance with this provision.
The registration processes will involve You providing a password and We shall provide You with a designated account. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under Your password or account. You agree to (a) immediately notify Edubox of any unauthorised use of Your password or account and any other breach of security, and (b) ensure that You exit from Your account at the end of each session. Edubox cannot and will not be liable for any loss or damage arising from Your failure to comply with this obligation.
Your member account is strictly for your personal use only and you may not use your account to provide access to Services for anyone else. Your Member account is subject to an acceptable use policy, and user accounts are monitored.
Who May Use the Services (Teacher Take Five)
To subscribe to the Services at www.edu-box.co.uk you must be 18 years or older and are not barred from using the Services under applicable law and capable of forming a binding contract.
Registration and Your Information
If you want to subscribe to the Services you’ll have to create an account (“Account”). You can do this by going to www.edu-box.co.uk
It’s important that you provide us with accurate, complete and up-to-date information for your Account and you agree to update such information, as needed, to keep it accurate, complete and up-to-date. If you don’t, we might have to suspend or terminate your Account. You agree that you won’t disclose your Account password to anyone and you’ll notify us immediately of any unauthorized use of your Account. You’re responsible for all activities that occur under your Account, whether or not you know about them.
Using the Services
Via the Services, users can select to listen to a variety of meditations or short talks and view or download resources that are released over time, based on the length of your subscription. This content has been adapted from meditation practices.
You understand and agree that the Services and any other information you learn from Teacher Take Five are not intended, designed, or implied to diagnose, prevent, or treat any condition or disease, to ascertain the state of your health, or to be a substitute for professional medical care. Not all activities described on the Services are suitable for everyone. Do not use the Services while driving, operating heavy machinery, or performing other tasks that require attention and concentration. You understand and agree that you are solely responsible for your use of the Services. You acknowledge that all content remains the property of Edubox at all times. Any resources downloaded may not be shared or otherwise hosted on any networked system. Resources are for the single and sole use of the person downloading them and any replication or sharing of resources (without written permission Edubox Ltd) will result in Edubox Ltd taking action to protect its rights.
Teacher Take Five Services are available when you purchase a monthly or yearly subscription (“Subscription”) via Edubox Ltd. When you purchase a Subscription, we will ask you to supply additional information relevant to your Transaction, such as your credit card number, the expiration date of your credit card and your address(es) for billing and delivery (such information, “Payment Information”). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. The amounts due and payable by you for a Transaction through the Services will be presented to you before you place your order. For your safety, credit/debit card details are not stored nor shared with third parties. Payment transactions are processed via Sagepay or other secure third party payment providers and You are encouraged to read the terms and conditions for any financial transactions with these companies. You’ll receive a confirmation email after we confirm the payment for your order. Your order is not binding on Edubox Ltd until accepted and confirmed by Edubox Ltd. All payments made are non-refundable and non-transferable except as expressly provided in these Terms.
If you have any concerns or objections regarding charges, you agree to raise them with us first and you agree not to cancel or reject any credit card or third party payment processing charges unless you have made a reasonable attempt at resolving the matter directly with Edubox Ltd.
Edubox Ltd reserves the right to not process or to cancel your order in certain circumstances, for example, if your credit card is declined, if we suspect the request or order is fraudulent, or in other circumstances Edubox Ltd deems appropriate in its sole discretion. Edubox Ltd also reserves the right, in its sole discretion, to take steps to verify your identity in connection with your order. You may need to provide additional information to verify your identity before completing your Transaction (such information is included within the definition of Payment Information). Edubox Ltd will either not charge you or refund the charges for orders that we do not process or cancel.
Edubox Ltd retains the absolute right at their complete discretion to offer Monthly Subscriptions in certain countries for certain periods of time or Pre-Paid Subscriptions in certain countries for certain periods of time.
Subscriptions Automatically Renew Until You Cancel & How to Cancel Your Subscription
All subscription amounts are payable and charged. For monthly or yearly subscriptions, at the beginning of the subscription and, because each such subscription renews automatically for an additional period equal in length to the expiring subscription term until you cancel it, at the time of each renewal until you cancel, using the Payment Information you have provided.
If You reside within the European Union, You may cancel Your order for access to the Membership Service within 14 days from the date of Your purchase and obtain a full refund by contacting firstname.lastname@example.org unless You have started to listen to any meditations, short talks or use any resources within the Membership Service. Once You have started to use any such resources, You cannot cancel Your order, and You will not receive a full or partial refund for Your order. By placing an order to subscribe to the Membership Service, You acknowledge and provide Your consent to this.
You must cancel your monthly or yearly Subscription before it renews to avoid the billing of the fees for the next Subscription period. You can cancel the renewal of your subscription at any time by contacting us by email at email@example.com. You will not receive a refund for the fees you already paid for your current subscription period and you will continue to receive the Services ordered until the end of your current Subscription period.
If Your Membership Service renews automatically, at the end of Your first Minimum Term We may charge You, at our sole and absolute discretion, the rate You paid when You first subscribed to the Service or the then current annual rate for the Service you have access to.
Edubox may change the price for the Monthly Subscriptions and Pre-Paid Subscriptions for Teacher Take Five and we will communicate this change to you either at renewal, or in respect of Monthly Subscriptions, at the point the new price is in use.
Changes to Price Terms for Subscriptions
Edubox reserves the right to change its pricing terms for Teacher Take Five Subscriptions at any time and will notify you in advance of such changes becoming effective. Changes to the pricing terms will not apply retroactively and will only apply for Subscription renewals after such changed pricing terms have been communicated to you. If you do not agree with the changes to Teacher Take Five’s pricing terms then you may choose not to renew your Subscription in accordance with the section “Subscriptions Automatically Renew Until You Cancel & How to Cancel Your Subscription.”
You agree that your Subscription is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by Edubox or Teacher Take Five regarding future functionality or features.
Product Service (Edubox physical products)
The Product Service allows You to purchase physical products directly from the Website and have them delivered to You. Unless we agree otherwise, when you place an Order through the Website or otherwise, the price You pay will include second class postage to UK mainland addresses only. If You are ordering from overseas, we are happy to process the order, but will charge any additional postage surcharge.
When You place an order with us, this is technically an Offer from you, to us. We will deem to have accepted this offer when the Order has been processed and the product posted. We reserve the right to cancel any order for any reason and will refund you your money if we do so.
We aim to process and send out Your order as quickly as possible. This will usually be within two working days, but it may take up to five working days to process.
Please ensure that you check the address you have set up as your postal address. We are not responsible for any orders sent to the wrong address.
If the product(s) provided under the Product Service are not what You ordered or the delivery is of an incorrect quantity, We shall have no liability to You unless You notify Us in writing at our contact address of the problem within 5 working days of the delivery of the service in question.
If You notify a problem to Us our only obligation will be, at Your option:
- to make good any shortage or non-delivery;
- to repair and resend any products that are damaged or defective.
- Save as precluded by law, We will not be liable to You for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem You notify to Us under this contract and We shall have no liability to pay any money to You by way of compensation other than to refund to You the amount paid by You for the relevant order.
You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase the Product Services from our site. The importation or exportation of certain goods may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the products under the service You purchase.
Edubox and Teacher Take Five Subscription Offers and Competitions
All competitions or offers coordinated by Edubox on official social media accounts will make clear what any offer includes, who is able to participate, how to participate and when said competitions begins and ends. Any entries that do not meet these requirements will not be entered in to any promotion.
Promotions by Edubox will give specific restrictions and conditions of entry for each offer in the launching of any competition. Edubox will be available to answer questions and clarify the terms of entry for any potential entries.
Any given conditions of entry will be made clear before or at the time of entry for prize draws, discount opportunities or offer codes. These conditions will remain accessible through the period of the promotion.
We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. You may cancel your Account at any time by sending an email to us at firstname.lastname@example.org. Upon any termination, discontinuation or cancellation of Services or your Account, all provisions of these Terms which by their nature should survive will survive, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.
We welcome feedback, comments and suggestions for improvements to the Services or Products (“Feedback”). You can submit Feedback by emailing us at email@example.com You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicenseable and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.
You agree not to do any of the following:
- Post, upload, publish, submit or transmit any Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
- Use, display, mirror or frame the Products or Services, or any individual element within the Products or Services, Edubox’s name, Teacher Take Five’s name, any Edubox or Teacher Take Five trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Edubox’s express written consent;
- Access, tamper with, or use non-public areas of the Services, Edubox’s computer systems, or the technical delivery systems of Edubox’s providers;
- Attempt to probe, scan, or test the vulnerability of any Edubox or Teacher Take Five system or network or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Edubox or any of Edubox’s providers or any other third party (including another user) to protect the Services;
- Attempt to access or search the Services or download Content from the Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Edubox or other generally available third party web browsers;
- Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
- Use any meta tags or other hidden text or metadata utilizing an Edubox or Teacher Take Five trademark, logo URL or product name without Edubox’s express written consent;
- Use the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
- Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Services;
- Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
- Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;
- Impersonate or misrepresent your affiliation with any person or entity;
- Violate any applicable law or regulation; or
- Encourage or enable any other individual to do any of the foregoing.
- Edubox strictly forbids the use of any scripted or otherwise automated method of website access.
Although we’re not obligated to monitor access to or use of the Services or Content or to review or edit any Content, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any Content to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

The Products and Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products or services on or available from those websites or resources or links displayed on such websites. You acknowledge and agree that Edubox shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.
The Services, Products and Content are provided “as is,” without warranty of any kind. Without limiting the foregoing, we explicitly disclaim any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement and any warranties arising out of course of dealing or usage of trade.
We make no warranty that the Services or Products will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any Content.
You agree to indemnify, defend and hold Edubox Limited and its affiliates harmless from and against any and all liability, losses, costs, claims and expenses incurred directly or indirectly (including reasonable legal fees) incurred in connection with or arising out of your violation of these Terms and Conditions, any applicable law or regulation or the rights of any third parties related to the use of the Content, our Website, Service and tools. This indemnity includes both any liability to third parties, and other costs and losses incurred by Edubox Limited.
Special warning for international use
The Website is designed to be compliant with the applicable laws and regulations of England and Wales. Due to the global nature of the Internet, users from all over the world will have access to the Website, however if you are resident in a country outside of the United Kingdom you use the Website at your own risk.
Limitations of liability
Edubox Limited’s liability to you in contract, tort (including negligence) with regard to these Terms and Conditions, use of the Website and/or any Service shall be limited the greater of: (a) £49.99 and (b) the price paid by you to Edubox Limited under any Contract during the 3 months preceding the event giving rise to the claim.
You expressly acknowledge and agree that Edubox Limited shall not be liable for any indirect, incidental, special, consequential or exemplary damages, nor for direct or indirect loss of profits revenue, business, anticipated savings, goodwill, opportunity, reputation, business interruption, use, data or intangible losses even if Edubox Limited has been advised of the possibility of such damage.
Nothing in these Terms and Conditions shall affect the statutory rights of any consumer.
No delay or failure by Edubox to exercise any of its powers, rights or remedies under this agreement shall operate as a waiver of them nor shall any single or partial exercise of any such powers, rights or remedies preclude any other or further exercise of them. Any waiver, to be effective, must be in writing.
Events outside of our control
Edubox Ltd will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms and Conditions or any Contract that is caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
- Strikes, lock-outs or other industrial action.
- Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
- Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster.
- Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
- Impossibility of the use of public or private telecommunications networks.
- The acts, decrees, legislation, regulations or restrictions of any government.
- Viruses and cyber attacks
- Power or other failure affecting any part of our servers, premises or any other part of our service
- Edubox Limited’s performance under any Terms and Conditions or any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance during that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Terms and Conditions or any Contract may be performed despite the Force Majeure Event.
These Terms constitute the entire and exclusive understanding and agreement between Edubox and you regarding the Services, Products and Content, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Edubox and you regarding the Services, Products and Content. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
You may not assign or transfer these Terms, by operation of law or otherwise, without Edubox’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Edubox may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
Any notices or other communications provided by Edubox under these Terms, including those regarding modifications to these Terms, will be given: (i) by Edubox via email; or (ii) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
Edubox’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Edubox. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
If any part of these Terms and Conditions is unenforceable (including any provision in which We exclude our liability to You) the enforceability of any other part of these conditions will not be affected.
Third party rights
Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right under the United Kingdom Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement but this does not affect any right or remedy of a third party that exists or is available apart from that Act.
Unless otherwise expressly stated in these Terms and Conditions, all notices from You to Us must be in writing and sent to our contact address at Edubox Limited, Unit 7 The Towers, Foley Avenue, Kidderminster, DY11 7PG, United Kingdom.
Notices from Us to You may be in writing or electronic format (to include both email and notice via the Website).

The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.
